Your proposal governs your engagement

If we have sent you a proposal and you have paid against it, that document sets the scope, the stages, the price and the payment schedule for your work, and it takes precedence over anything on this page. This page covers the use of this website and the things your proposal does not address.

What your deposit bought

The deposit starts the build. It is not a booking fee and it is not a retainer against future hours. It buys the first stage set out in your proposal, at the price stated there, and the work begins once it clears.

Paying it also opens your client portal, where you can see what stage the work is at, what we are waiting on from you, and what has been invoiced.

If you paid a fee for a scoping or discovery session before this, and your proposal says that fee is credited, it comes off the deposit rather than sitting alongside it.

How the work runs

Work is broken into stages, and your proposal lists yours. Each stage is invoiced when it starts, on the schedule in your proposal. There is no separate site-wide payment term, because the one that applies to you is the one you agreed to.

Going live is a step we take with you, at a time you pick. It does not happen automatically when a payment clears.

If something you ask for is big enough to be its own piece of work, we will tell you and quote it separately rather than absorb it quietly or let the timeline stretch.

If you want to pause or stop

You can stop at any point. There is no lock-in and no notice period. You pay for the stages that have started; you are not charged for stages that have not.

If you want to pause instead, tell us and we will hold the work where it is. Nothing runs and nothing is invoiced while it is paused.

Where we hold credentials to a system of yours, you can revoke them yourself at any time. The connection stops and nothing in your own system changes.

What you own

What we build for you belongs to you. Ownership is not withheld pending a final payment. It runs on our infrastructure while we host it, and if you ever want to take it elsewhere we will hand over what you need to do that.

Your business data is yours. You can ask for an export at any time, during an engagement or after it, and we will provide it in a usable format at no charge. How we store and delete it is set out in our privacy policy.

Naxium keeps the right to reuse the general techniques and know-how developed during an engagement. That does not extend to your data, your content, or anything specific to your business.

What we ask of you

The work depends on access and answers. Where a stage needs a system connected, a document, or a decision from you, we will say so and the timeline moves with it. We will tell you what we are waiting on rather than let a stage go quiet.

Limitation of liability

Nothing here excludes any guarantee, right or remedy you have under the Australian Consumer Law that cannot be excluded. To the extent the law allows, Naxium's liability is limited to the fees you have paid for the relevant services, and we are not liable for indirect, consequential or special losses.

Using this website

The content on naxium.com.au is provided for general information. Any figures shown in the estimator on this site are calculated from the inputs you enter, and are an estimate rather than a quote or a promise of a result.

Governing law

These terms are governed by the laws of Victoria, Australia. Disputes are subject to the exclusive jurisdiction of Victorian courts.
